1. Agreement and scope
By accessing the Exece website, opening an account, submitting a request, or using a service that refers to these terms, you agree to these Terms of Service and our Acceptable Use Policy. If you enter into a separate signed agreement with Exece, that agreement controls for the covered service if it expressly conflicts with these terms.
2. Business eligibility and accounts
Exece is intended for organizations and people acting in a professional or business capacity. You are responsible for activity under your account and for keeping your account information current.
- You must have authority to accept these terms for yourself or the organization you represent.
- Registration, company, billing, and service-request information must be complete and accurate.
- Keep credentials confidential, use reasonable account security, and do not share access beyond authorized users.
- Notify us promptly if you suspect unauthorized access or misuse of your account.
3. Requests, proposals, and deliverables
Website descriptions present our general capabilities and do not by themselves create a commitment to deliver a particular result. A service begins only when the parties confirm its scope, timing, responsibilities, assumptions, fees, and acceptance criteria through an order, proposal, statement of work, or other written confirmation.
Changes to an agreed scope may affect timing, dependencies, and price. Each party remains responsible for decisions, materials, access, approvals, and other inputs assigned to it. Unless a written agreement says otherwise, estimates are planning information rather than guaranteed outcomes.
4. Fees, taxes, and payment
Applicable fees, currency, payment schedule, expenses, and cancellation terms will be stated in the relevant order or proposal. You are responsible for authorized charges and applicable taxes other than taxes imposed on our income. If payment is overdue, we may pause the affected service after reasonable notice, subject to the governing agreement and applicable law.
5. Responsible use
You may use Exece only for lawful business purposes and in a way that protects other users, third parties, and the integrity of our systems. You must not interfere with the service, bypass access controls, misuse another person's data, or use our services to distribute unlawful, deceptive, infringing, or harmful material.
6. Intellectual property and submitted materials
Exece and its licensors retain rights in the Exece brand, website, service technology, methods, and pre-existing materials. You retain rights in materials you provide. You grant us the limited permission needed to host, reproduce, adapt, and otherwise process those materials to provide, secure, support, and improve the requested service.
If you voluntarily provide product or service feedback, we may use it without restriction or compensation, provided we do not identify you publicly without permission. Ownership and usage rights for project deliverables are governed by the applicable written order or services agreement.
7. Confidential information
Each party should protect non-public business, technical, and commercial information received from the other with reasonable care and use it only for the relevant relationship. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Legally required disclosure may be made where permitted, with notice when reasonably available.
8. Third-party services
Exece may interoperate with or link to providers that Exece does not control. Their terms and privacy practices govern your direct use of their products. We are not responsible for a third party's independent services, although we remain responsible for our own obligations when we appoint a provider to process data on our behalf.
9. Changes and availability
We may maintain, update, or change the website and platform to improve performance, security, or functionality. Service may occasionally be interrupted by maintenance, emergencies, dependencies, or events outside reasonable control. We will use commercially reasonable efforts to communicate material planned changes that directly affect an active paid service.
10. Service disclaimers
Except for commitments expressly made in a signed agreement, the website and general platform features are provided on an as-available basis. To the extent permitted by applicable law, Exece disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing here limits a warranty or consumer right that cannot lawfully be excluded.
11. Responsibility and liability
Each party remains responsible for losses caused by its breach, negligence, unlawful conduct, or misuse of the service, subject to the limits in any applicable signed agreement and applicable law. No language in these terms excludes liability that cannot legally be excluded. Project-specific risk allocation, indemnities, and financial caps should be recorded in the relevant services agreement.
12. Suspension and termination
You may stop using the website at any time and may request account closure. We may restrict or suspend access when reasonably necessary to address a security risk, unlawful activity, material breach, non-payment, or harm to the platform or others. Where circumstances permit, we will provide notice and an opportunity to resolve the issue. Provisions that by their nature should survive will remain effective after termination.
13. Updates and general terms
We may update these terms as the platform, services, or legal requirements evolve. We will publish the revised date and provide additional notice when required or when a change materially affects an active account. If one provision is unenforceable, the remaining provisions continue to apply. Delay in enforcing a right is not a waiver. Governing law and dispute procedures should be specified in the applicable order or signed agreement rather than assumed from this website template.
